Examples of our African based work includes:

Advising a major South African resource company in evaluation of various power off-take arrangements.  

In doing so TAE advised the client in  identifying the different power off-take transaction types for 600MW of base-load generation production and 50MW of wind-based generation, and on Institutional and regulatory hurdles and ancillary arrangements to be addressed to give effect to the trade of independent power.

Undertaking a risk assessment of a cross-border  power purchase agreement for a major ferrochrome producer

The primary focus of our work was in regard to  pricing and supply agreements covering commercial matters such as:

  • Proposed pricing (levels, structure and escalators) and projected contractual capacities and energy volumes
  • Review of ancillary agreements and allocation of costs (e.g. connection and  inter-connection; backup and balancing power; ancillary services costs, etc.
  • Risk apportionment
  • Evaluation of levelised PPA cost  versus alternative supply options

Commercial adviser in development of South Africa’s Pilot National Cogeneration Program 

In this role TAE’s principal adviser worked with a multi-disciplinary team of experts in developing the framework for power purchase and drafting of necessary transactions documents. Components of this work included:

  • Design of a pricing model for bid power and developed bid parameters for purchase of cogenerated power.
  • Risk analysis on the transaction parameters and long term financial liabilities accruing to the client.
  • Assisting in a team of professionals in drafting of key transactions documents including the Request for Tender, Power Purchase agreement, and Practice Notes.

The pilot programme also provided the template and experience for further development of power purchase programs in South Africa.
